The Commonwealth of the Bahamas is a tax free English speaking jurisdiction in the Caribbean. It is a stable, independent sovereign country, with a democracy and government/judicial system modeled on the United Kingdom.

The Bahamas has a population of about 340,000 living on a chain of 700 islands; but most of the population live on about 30 major islands. Approximately half of the population lives on New Providence, which is the site of the capital city of Nassau. The second largest city Freeport is on Grand Bahamas, less than 60 Km east of Miami.

The Bahamas has a long history as a major offshore financial center. The Bahamas offshore company is governed by the International Business Companies Act, 2000 (as amended) and is fully tax free in the Bahamas. The Bahamas also has no income tax, capital gains tax, withholding tax, gift tax or inheritance tax.

Confidentiality

Details of Directors and Officers must be filed with the Registrar and are open to public inspection.

The Shareholders register must be kept at the Registered Office. It is not open to public inspection.

Nominees for either the Director(s) and/or the Shareholder(s) can be used, and are provided by Maritime International Ltd.

Requirement

Company Capital
USD50,000 divided into 50,000 share at USD1.00 each. There are additional government fees for high capitalization

Shareholder
Minimum of 1 shareholder. Shareholder and Director can be same person.

Director
Minimum of 1 shareholder. Shareholder and Director can be same person.

Annual Fee
Not require to file annual return and audit report. However, government annual fee applies .

Company Names
The following names require the consent of the Minister or a licence to be used: Bank, insurance, assurance, building society, reinsurance, savings, loans, fund management, investment fund, trust, trustee, university, municipal, Chamber of Commerce or any name which is, in the opinion of the Registrar, likely to suggest association with the banking or insurance industries.

Fees

Incorporation Fee: RMB12,000

Inclusive of:
· Official registration fee to the Bahamas Government
· 1 year registered agent and registered address

· Share Certificate
· 1 Company Seal and Signature Chop

Annual Fee:
RMB6,500 per year (due on anniversary date of the Company)
